1. Agreement to Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Aakoryx Global Solutions LLP, operating the Vyaply platform (“we,” “our,” or “us”).

By accessing or using the Vyaply platform — including our website at vyaply.com, our web application, APIs, and any related services (collectively, the “Services”) — you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use of the Services immediately.

2. Description of Services

Vyaply is an AI-powered WhatsApp Business Automation Platform that enables businesses to:

• Automate customer conversations using chatbot flows
• Capture and qualify leads through WhatsApp
• Send broadcast messages and campaign notifications
• Schedule appointments and reminders
• Manage customer interactions via a unified dashboard
• Integrate with WhatsApp Business API (via Meta/WhatsApp)

Vyaply is a business unit of Aakoryx Global Solutions LLP, a technology consulting firm providing digital transformation services.

3. Eligibility & Account Registration

• You must be at least 18 years of age to use the Services.
• You must register for an account using accurate, current, and complete information.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at support@vyaply.in if you suspect unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that provide inaccurate information or violate these Terms.

4. Acceptable Use Policy

By using Vyaply, you agree not to:

• Send spam, unsolicited messages, or bulk messages without recipient consent
• Use the platform to transmit illegal, harmful, defamatory, or fraudulent content
• Violate any applicable laws, regulations, or third-party rights (including intellectual property rights)
• Attempt to reverse-engineer, decompile, or extract source code from the platform
• Use automated tools (bots, scrapers) to access the platform in an unauthorized manner
• Resell, sublicense, or commercially exploit the Services without written authorization from us
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Engage in any activity that disrupts or interferes with the Services or servers connected to the Services

We reserve the right to suspend or terminate access for any user found to be in breach of this Acceptable Use Policy, without prior notice.

5. WhatsApp Business API & Cloud API Compliance

Vyaply is built on the WhatsApp Business Cloud API provided by Meta Platforms, Inc. By using our WhatsApp messaging features, you agree to the following:

5.1 Your Obligations

• Comply with the WhatsApp Business Policy, WhatsApp Commerce Policy, and WhatsApp Terms of Service
• Only send messages to recipients who have opted in and consented to receive communications from your business
• Ensure all message templates are approved through WhatsApp's template approval process before use
• Not use the Services for prohibited industries or content categories as defined by Meta/WhatsApp
• Accept that WhatsApp/Meta may independently restrict or suspend your WhatsApp Business API access

5.2 Meta Cloud API — How Your Data Is Processed

• Message Routing: All WhatsApp messages sent through Vyaply are transmitted via Meta's Cloud API infrastructure. Meta acts as an independent data processor for message delivery.
• 30-Day Temporary Storage: Meta's Cloud API temporarily retains messages on its servers for up to 30 days to ensure reliable delivery, after which they are permanently and automatically deleted.
• Meta's Privacy Policy Applies: Your message data is processed by Meta under the WhatsApp Privacy Policy. Vyaply has no control over Meta's independent data processing.
• Encryption Note: Messages via the WhatsApp Business Cloud API are not end-to-end encrypted between your business server and Meta's infrastructure (unlike personal WhatsApp chats). However, Meta does not use business messages for advertising.

You acknowledge that Vyaply is not responsible for actions taken by WhatsApp/Meta, including account suspension, message rejection, or changes to Cloud API terms.

6. Subscription, Fees & Payment

6.1 Subscription Plans

• Vyaply is offered on a subscription basis (monthly or annual billing cycles). Plan details and pricing are available on our pricing page.
• All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes including GST, which will be added at the prevailing rate.
• Payments are processed through secure, PCI-DSS compliant third-party payment processors. We do not store your full payment card details.

6.2 Free Trial

• Vyaply may offer a free trial period as specified at sign-up. During the trial, you will have access to selected platform features.
• At the end of the free trial, you will be required to subscribe to a paid plan to continue using the Services. You will not be charged without your explicit consent.
• We reserve the right to modify or discontinue free trial offers at any time.

6.3 Auto-Renewal

• Paid subscriptions auto-renew at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date.
• You will receive a renewal reminder via email at least 7 daysbefore the renewal date.
• To prevent renewal, you must cancel before the renewal date through your account settings or by writing to support@vyaply.in.

6.4 Cancellation Policy

• You may cancel your subscription at any time through your account settings or by contacting our support team.
• Upon cancellation, your subscription remains active until the end of the current paid billing period. No prorated refunds are provided for the unused portion of an active billing period.
• After cancellation, your account will be downgraded to a limited/free tier (if available) or deactivated at the end of the billing period.

6.5 Refund Policy

Refunds may be considered in the following cases:

• Duplicate Payment: If you are charged more than once for the same billing period due to a payment system error, we will refund the duplicate amount.
• Service Non-Availability: If Vyaply experiences a verified platform outage of more than 72 consecutive hours within a billing period, you may request a proportional credit or refund for the affected period.
• Incorrect Charge: If you are charged an incorrect amount due to a billing error on our part, the difference will be refunded.
• Cancellation within 48 Hours of First Charge: If you cancel within 48 hours of your first paid subscription charge (not applicable to renewals), you may request a full refund, provided you have not actively used the paid features.

Refunds are not provided for:

• Partial use of a subscription period
• Change of mind or business circumstances
• Account suspension or termination due to violation of these Terms or WhatsApp Business Policies
• WhatsApp/Meta independently restricting or suspending your API access

To request a refund, email support@vyaply.in within 7 days of the charge with your account details and reason. Approved refunds will be processed within 7–10 business days to the original payment method.

6.6 Payment Failures

• If a payment fails at renewal, we will notify you via email and attempt to process the payment again within 3 business days.
• If the payment continues to fail after retry attempts, your account may be suspended or downgraded until payment is successfully processed.
• You are responsible for maintaining valid and up-to-date payment information in your account.

6.7 Price Changes

• We reserve the right to change subscription pricing at any time. Existing subscribers will receive at least 30 days' advance notice via email before any price change takes effect.
• Continued use of the Services after the new pricing takes effect constitutes acceptance of the updated pricing.

7. Intellectual Property

All intellectual property rights in and to the Vyaply platform — including software, design, logos, trademarks, documentation, and content — are owned by or licensed to Aakoryx Global Solutions LLP. These rights are protected by applicable Indian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your legitimate business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our Services or included software.

You retain all ownership rights in content and data you upload to the platform. By uploading content, you grant us a limited license to process and display that content solely for the purpose of providing the Services to you.

8. Data Privacy & Security

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We handle your data in compliance with the Information Technology Act, 2000 and applicable Indian data protection regulations.

You are responsible for ensuring that any personal data of your customers processed through the Vyaply platform complies with applicable privacy laws, including obtaining necessary consents from your customers.

9. Third-Party Integrations

Vyaply integrates with third-party services including WhatsApp Business API (Meta), payment processors, analytics providers, and cloud infrastructure providers. Your use of such third-party services is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or conduct of any third-party services. Links to third-party services from our platform do not constitute our endorsement of those services.

10. Disclaimers & Limitation of Liability

Disclaimer of Warranties: The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability: To the fullest extent permitted by applicable law, Aakoryx Global Solutions LLP and Vyaply shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising out of or related to your use of (or inability to use) the Services.

Our total cumulative liability to you for any claims arising from these Terms or the Services shall not exceed the total fees paid by you to Vyaply in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Aakoryx Global Solutions LLP, Vyaply, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of the rights of any third party
• Content or data you upload, transmit, or otherwise make available through the Services

12. Termination

Either party may terminate the agreement at any time:

• By You: You may cancel your account at any time through your account settings or by emailing support@vyaply.in.
• By Us: We may suspend or terminate your access immediately, without notice, if you breach these Terms, violate WhatsApp Business Policies, or if we determine your use poses a legal or reputational risk.

Upon termination, your right to use the Services ceases immediately. We may retain your data for up to 90 days post-termination for legal and compliance purposes, after which it will be deleted or anonymized.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.

Aakoryx Global Solutions LLP is a Limited Liability Partnership registered in India (GSTIN: 27ACKFA1236G1ZM).

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the revised Terms on this page and updating the “Last Updated” date. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
